  • Stage 1 (Immediate): Secure transfer of existing XRPL Foundation assets, including the xrpl.org domain, XRP trademarks, the Unique Node List (UNL) validator network, GitHub repositories, and communication channels like YouTube and Twitter. This stage also emphasizes operational transparency through dedicated committees focused on memberships, audits, and infrastructure.
  • Stage 2 (Near-term): Expand community representation by creating a formal membership structure and inviting new board members from exchanges, universities, and major ecosystem players. The goal is to ensure the foundation reflects the diverse interests within the XRP Ledger ecosystem.
  • Stage 3 (Long-term): Explore new initiatives including research and development committees for the XRP Ledger protocol, grant distribution channels, and marketing and communications efforts to support innovation across the network.

How Will the New Governance Structure Work?

The new foundation is designed with a board composition that includes representatives from XRPL Labs, XRPL Commons, community members (potentially through a Community DAO, or decentralized autonomous organization), and Ripple. A key innovation is the planned addition of an independent, democratically elected, rotating chairperson who will provide leadership while ensuring balanced governance and fresh perspectives.

This structure addresses a fundamental challenge in decentralized networks: how to make decisions that serve a broad, geographically dispersed community without concentrating power. The existing XRPL Foundation team is also establishing a new Inclusive Financial Technology Foundation (INFTF) to pursue a broader financial inclusion mandate beyond XRPL-specific work. This separation allows the new XRP Ledger Foundation to focus specifically on the network's needs while the INFTF pursues complementary goals.

What Assets Are Being Transferred?

The transition involves several critical assets that currently belong to the existing XRPL Foundation:

  • Domain and Web Infrastructure: Ownership and hosting of xrpl.org, the primary resource for developers building DeFi applications on the network, will transfer to the new foundation with updated content management and administrative access.
  • Intellectual Property: XRP trademarks and brand guidelines will be transferred with legal documentation to protect how the brand is used across the ecosystem.
  • Network Infrastructure: The Unique Node List (vl.xrplf.org), which maintains the list of trusted validators that secure the network, will transition to new operational control.
  • Developer Resources: GitHub repositories containing the code for the XRP Ledger protocol will be transferred with updated licensing and contributor notifications to ensure continuity for developers.
  • Community Channels: YouTube, Twitter/X, and blog accounts will be transferred with stakeholder notifications to maintain communication with the community.

The transfer will only occur once the new foundation is fully prepared to manage these assets effectively. Until then, the current XRPL Foundation will continue managing them to ensure no disruption to DeFi services or developer access.

Why Is Democratic Governance Important for DeFi Infrastructure?

DeFi protocols depend on trust in the underlying infrastructure. When governance is concentrated in a few hands, it creates a single point of failure and raises concerns about censorship or unfair decision-making.
